Constitution of the National Kinmen University Alumni Association of the Republic of China

Chapter 1 General Provisions
Article 1 The name of this association is the National Kinmen University Alumni Association of the Republic of China (hereinafter referred to as the association).
Article 2 The Association is a social organization established in accordance with the law and not for profit. It aims to connect the alumni of National Kinmen University, sharpen their academic research, promote alumni cooperation, assist the development of the alma mater, carry forward the spirit of true knowledge and action, and be beneficial to the world, and enhance the society. Public welfare is the purpose.
Article 3 The association takes the national administrative region as its organizational area.
Article 4 The association shall be located in the area where the competent authorities are located, and may establish branches upon approval by the competent authorities.
The organizational rules of the branch mentioned in the preceding paragraph shall be drawn up by the board of directors and submitted to the competent authority for approval before implementation.
When setting up or changing the address of the meeting place and branch offices, a letter must be submitted to the competent authority for approval.
Article 5 The tasks of this Association are as follows:
1. Promote alumni networking activities.
2. Handle alumni service work.
3. Edit and publish the alumni association newsletter.
4. Assist alumni to find employment and start businesses.
5. Provide alumni with further education information.
6. Assist in the development of the alma mater.
Article 6 The competent authority of the Association is the Ministry of the Interior, and the competent authority of the target enterprise is the Ministry of Education. The target enterprise shall be subject to the guidance and supervision of the respective competent authorities.
Chapter 2 Membership
Article 7 The application qualifications for membership of this association are as follows:
1. Individual members: Anyone who agrees with the purpose of this association, is over 20 years old, has graduated from a college, department, subject, class or degree program established by National Kinmen University (including its predecessor), or has served as a faculty member of his alma mater. Workers who fill in an application form for membership will become individual members after being reviewed and approved by the board of directors and paying membership fees.
2. Group membership: Anyone who agrees with the purpose of the association of National Kinmen University’s departmental associations, regional alumni associations, and various community alumni associations can become a group member by filling in an application form for membership, subject to review and approval by the board of directors, and payment of membership fees. .
3. Honorary members: Anyone who assists in the promotion of school affairs and has made contributions to the association shall be recommended by other alumni and fill out an application for membership. After being reviewed and approved by the board of directors, he or she will be an honorary member.
4. Sponsoring members: Any individual who sponsors the work of the Association must fill in an application for membership and be a sponsoring member after being reviewed and approved by the Board of Directors.
5. Lifetime membership: Those who meet the individual membership qualifications, fill in the membership application form, and after approval by the board of directors and paying membership fees to a certain level, can enjoy the rights of the association for life.
Article 8 Members (member representatives) have the right to vote, elect, be elected and remove. Each member (member representative) has one right.
Honorary members and sponsoring members do not have the aforementioned rights.
Article 9 Members have the obligation to abide by the articles of association, resolutions and pay membership fees; those who have not paid membership fees for one year ( including more than one year ) shall not enjoy membership rights. Those who have not paid membership fees within three months after notification will lose their membership. , membership can be reinstated only after the membership fee and annual membership dues are paid back and the resolution of the board of directors is passed.
Article 10 When a member (member representative) violates laws, regulations or fails to comply with the resolutions of the general meeting of members, he or she may be given a warning or suspended by a resolution of the board of directors. If the member (member representative) has seriously harmed the group, the member may be given a warning or suspended by a resolution of the general meeting of members (member representatives). Cancel membership.
Article 11 A member who loses his membership or has his membership canceled by resolution of the general meeting shall be deemed to have withdrawn from the meeting.
Article 12 Members may declare their withdrawal from the association by stating the reasons in writing, and the paid membership fees will not be refunded.
Chapter 3 Organization and Authority
Article 13 The General Assembly of the Association shall be the highest authority.
When the number of members exceeds 300, member representatives may be elected on a proportional basis, and then a member representative meeting shall be convened to exercise the powers of the general meeting. Member representatives serve a three-year term. Their quota and election methods shall be drawn up by the Board of Directors and submitted to the competent authority for approval before implementation.
Group members may nominate two representatives to exercise membership rights.

Article 14 The powers of the general meeting of members are as follows:
1. Establishing and changing the articles of association.
2. Elect and remove directors and supervisors.
3. Decide on the amount and method of membership fees, annual membership fees, business fees and member donations.
4. Decide on annual work plans, reports, budgets, and final accounts.
5. Decide on the rights and disposition of members (member representatives).
6. Decide on the disposition of property.
7. Decide on the dissolution of this association.
8. Decide on other major matters related to the rights and obligations of members.
The scope of major matters specified in Item 8 of the preceding paragraph shall be determined by the Board of Directors.
Article 15 The association has 21 directors and 7 supervisors , who are elected by members (member representatives), and establishes a board of directors and a board of supervisors respectively.
When electing the directors and supervisors mentioned in the preceding paragraph, 3 alternate directors and 1 alternate supervisor may be elected at the same time based on the counting of votes. In the event of vacancies among directors or supervisors, they shall be filled in order. The current session of the Board of Directors may propose a reference list of candidates for the next session of directors and supervisors.
Directors and supervisors may be elected by communication. The communication election method shall be formulated separately and shall be approved by the Board of Directors and submitted to the competent authority for approval before implementation.
Article 16 The functions and powers of the Board of Directors are as follows:
1. Determine the qualifications of members (member representatives).
2. Elect and remove executive directors and chairman.
3. Decide on the resignation of directors, executive directors and chairman.
4. Recruiting and dismissing staff.
5. Formulate annual work plans, reports, budgets, and final accounts.
6. Other matters that should be implemented.
Article 17 The board of directors shall have 7 standing directors, who shall be elected by each other. The directors shall elect one of the standing directors to be the chairman and two to be the vice-chairmen. Their selection method is the same as that of the chairman. If the chairman of the board of directors is unable to perform his duties for some reason, he shall designate a vice-chairman to act as his deputy. If the chairman of the board of directors is not appointed or cannot be appointed, the standing directors shall nominate one person from each other to act as his deputy. When the Chairman, Vice Chairman and Executive Director become vacant, a replacement election shall be held within one month.
Article 18 The powers of the supervisory board are as follows:
1. Supervise the execution of the work of the Board of Directors.
2. Review the annual final accounts.
3. Elect and remove standing supervisors.
4. Decide on the resignation of supervisors and standing supervisors.
5. Other matters that should be monitored.
Article 19 The Board of Supervisors shall have one standing supervisor , who shall be elected by the supervisors from among themselves. He shall serve as the convener of the Board of Supervisors, supervise the daily affairs of the Board of Supervisors, and shall serve as the chairman of the Board of Supervisors. When a standing supervisor is unable to perform his duties due to business reasons, he shall designate one supervisor to act as his deputy. If no such appointment is made or cannot be made, the supervisors shall nominate one person from among themselves to act as his deputy. When the chairman of the board of supervisors (standing supervisor) becomes vacant, a replacement shall be elected within one month.
Article 20 Directors and supervisors are unpaid positions with a term of three years. They can be re-elected. However, the chairman is limited to one re-election. The terms of directors and supervisors are calculated from the date of the first meeting of the current session of the board of directors.
Article 21 Directors and supervisors shall be dismissed immediately if any of the following circumstances occur:
1. Those who have lost membership (member representative) qualifications.
2. Resignation for reasons approved by the board of directors or the board of supervisors.
3. Those who are dismissed or dismissed.
4. The period of suspension exceeds one-half of the term of office.
Article 22 The association shall have a secretary-general who shall handle the affairs of the association under the orders of the chairman. Several other staff members shall be nominated by the chairman and approved by the board of directors, and shall be reported to the competent authority for record.
The staff mentioned in the preceding paragraph shall not be appointed by elected staff. The rights and responsibilities of staff and hierarchical responsibilities shall be separately determined by the Board of Directors.
Article 23 The Association may set up various committees, groups or other internal working organizations. The organizational rules shall be implemented after being approved by the Board of Directors, and the same shall apply when changes are made.
Article 24 The Association may appoint an honorary chairman, honorary chairman, and consultants from the Board of Directors, and their terms of appointment shall be the same as the terms of directors and supervisors.
Chapter 4 Meeting
Article 25 The general meeting of members (member representatives) is divided into two types: regular meetings and extraordinary meetings. They are convened by the chairman. Except for emergency extraordinary meetings, written notice must be given fifteen days in advance. Regular meetings are held once a year. Extraordinary meetings are held when the board of directors deems it necessary, or at the request of more than one-fifth of the members (member representatives), or at the request of the supervisory board.
After the Association registers as a legal person, a temporary meeting will be convened at the request of more than one-tenth of the members (member representatives).
Article 26 If a member (member representative) cannot attend the general meeting in person, he may entrust another member (member representative) in writing to act as his agent. Each member (member representative) is limited to one agent.
Article 27 The resolution of the general meeting of members (member representatives) shall be passed with the approval of more than half of the members (member representatives) present and the majority present. However, the formulation and modification of the articles of association, the removal of members (member representatives), the removal of directors and supervisors, the disposition of property, the dissolution of the association and other major matters related to the rights and obligations of members must be attended by more than two-thirds of the people. agree.
After the Association registers as a legal person, changes to the Articles of Association shall be subject to the consent of more than half of the attendees or the written consent of more than two-thirds of all members. The association may be dissolved at any time by a vote of more than two-thirds of all members.
Article 28 The Board of Directors shall hold a meeting every six months , and the Board of Supervisors shall hold a meeting every six months . If necessary, a joint meeting or an extraordinary meeting may be held. When convening the meeting mentioned in the preceding paragraph, except for extraordinary meetings, a written notice shall be given fifteen days in advance. Resolutions of the meeting shall be made with the approval of a majority of the directors and supervisors present.
Article 29 Directors shall attend the board of directors’ meeting, and supervisors shall attend the supervisors’ meeting. The board of directors and the board of supervisors shall not entrust the attendance is absent from the board of directors or the board of supervisors for two consecutive times without reason shall be deemed to have resigned.
Chapter 5 Funding and Accounting
Article 30 The funding sources of this Association are as follows:
1. Membership fee:

4. Member donations.
5. Entrusted income.
6. Funds and their dividends.
7. Other income.
Article 31 The accounting year of this association shall be based on the previous year.
Article 32 Every year, two months before the beginning of the accounting year, the Board of Directors shall prepare the annual work plan, income and expenditure budget table, and employee benefits table, and submit them to the general meeting for approval (if the general meeting cannot be held as scheduled for any reason, the general meeting shall be (Adopted by the Joint Meeting of Proposers and Supervisors) and reported to the competent authority for review before the beginning of the fiscal year. Within two months after the end of the fiscal year, the Board of Directors shall prepare the annual work report, final account of income and expenditure, cash register, balance sheet, property catalog and fund income and expenditure statement, and submit them to the Board of Supervisors for review, and then issue a written review opinion. It shall also be submitted to the Board of Directors, submitted to the general meeting of members for approval, and reported to the competent authority for review before the end of March (if the general meeting of members cannot be held as scheduled, it shall be reported to the competent authority first.)
Article 33 After the association is disbanded, the remaining property shall belong to the local self-government group or the agency designated by the competent authority.
Chapter 6 Supplementary Provisions
Article 34 Matters not stipulated in this charter shall be handled in accordance with relevant laws and regulations.
Article 35 This Article of Association shall be adopted by the members (member representatives) conference and shall be implemented after being submitted to the competent authority for review and approval. The same applies to changes.
Article 36 This Article of Association was adopted by the 2nd General Meeting of the Association on October 25 , 2018 .
